The operation also includes a variable portion. Sngular has closed an agreement to acquire 100% of three subsidiaries of the technological training company Tecnofor Global, specifically, Tecnofor Consulting, Tecnofor Training, and Tecnofor Americas (based in Colombia), which, together, generated a revenue of 11 million euros in 2023, as reported by the company to the BME Growth.
The acquisition has been completed with a cash payment of 2.5 million euros and the delivery of 541,371 shares of Singular. However, the operation also includes a variable portion consisting of the future payment of around 30% of the acquisition price, conditioned on the future gross operating profit (Ebitda) generated by the acquired companies.
The transaction will be formalized in the coming weeks, once it is ratified by the general meeting of shareholders of Tecnofor Global. However, Sngular already has the commitment of the majority shareholder, who holds a 92% stake.
“Tecnofor started its activity 20 years ago in the technological training sector (…) In the last 10 years, it began the consultancy and integration of solutions activity on the Atlassian product ecosystem, such as Jira and Confluence. In a few years, it has become one of Europe’s main ‘platinum solution partners’, designing its own solutions for service desk, PMO, or SAFe for large national and international clients,” emphasized Sngular.”
It has also highlighted that in the last two years, Tecnofor has become a ‘global reference’ in process mining – which allows optimizing business activity – by developing, in collaboration with IBM, ‘its own technology in this field’ as part of its strategy to become an ‘international process automation consultant.’
In addition to the combined 11 million in revenue generated in 2023 by the three subsidiaries of Tecnofor acquired by Sngular, these companies also recorded an aggregate gross operating profit (Ebitda) of 900,000 euros and have a staff of 80 people.
“With this operation, Sngular integrates the leader in corporate technical training in Spain, at a time when the adaptation of numerous professionals in the sector to new emerging technologies, especially with artificial intelligence, will be particularly necessary,” emphasized Sngular.”
